Seminar for R&D Ventures: "Internal Management and Governance Structure that should be established step-by-step from now on, before you fall down".

GLOKA LINK, Inc. will co-host a seminar for R&D ventures, "Internal Management and Governance Structures that should be put in place step-by-step now, before you fall behind," on Wednesday, April 6, 2022, in conjunction with Liverness Corporation and the Real Tech Fund.

R&D venture companies need to establish an internal management system in line with their growth phase. In addition, when considering an IPO (initial public offering), a governance structure must be established in stages starting three years prior to the IPO. A system that can be checked by an external (audit firm) is also required.

What should be done about internal control and governance structure? What kind of people should be hired, and what should be done now to avoid becoming an "audit refugee" in preparation for an IPO?

In this seminar, Mr. Yasuji Edogawa, who has extensive experience in supporting IPOs of R&D venture companies, Mr. Hajime Yamaya of Realtech Holdings, Inc. and Mr. Osaka of Glocalink, Inc. will be invited as speakers to discuss key points in establishing internal control and governance systems.

Mr. Yasuji Edogawa
Representative of EDiX Professional Group (Edogawa CPA Office/EDiX Corporation)

After joining Showa Ota & Co. (now Ernst & Young ShinNihon LLC), he was mainly in charge of accounting audits of manufacturing companies such as major chemical manufacturers, and assisted many companies in the life science and IT fields to go public. In July 2019, he became independent and opened EDiX Professional Group Edogawa CPA Office and became the representative partner. Currently, in addition to focusing on supporting technology-related companies, he is involved in many innovation-related measures of central ministries and agencies as an external committee member.

Mr. Hajime Yamaya
Growth Manager, Realtech Holdings, Inc.

After graduating from Tohoku University with a degree in economics, he worked in corporate planning at an R&D-oriented semiconductor venture before joining Realtech Holdings in 2015 and leading the formation of the Glocal Deep Tech Fund, which will actively invest in real tech ventures originating from the region in 2020. In collaboration with participating regional financial institutions and business companies, he aims to solve global issues and revitalize regional economies by supporting and nurturing venture companies with superior technologies. Major investment support recipients include QD Laser (listed on TSE Mothers), which develops retinal scanning laser eyewear; Kyulux (Kyushu University venture), which develops next-generation organic EL materials; and Ball Wave (Tohoku University venture), which develops innovative chemical sensing.

 


Yoshinobu Osaka
President and Representative Director, Glocalink Inc.

He holds a Master's degree in Business Administration from Keio University, Graduate School of Business Administration. He was seconded to Mitsubishi UFJ Bank, Japan Bank for International Cooperation (JBIC), and served as a specially-appointed researcher at the Institute of Industrial Science, University of Tokyo, and ACCEL Program Manager at the Japan Science and Technology Agency (JST). He has also held positions at Liverness Corporation, Glocalink Corporation, and others. He has experience in providing hands-on support to pre-startup teams and investing in and fostering venture companies immediately after their establishment. He has been actively involved in venture companies as an advisor and board member.
